These Terms of Use (“Terms of Use“), including the Privacy Policy available here (“Privacy Policy”) which is an integral part hereof (collectively, the “Terms“), apply to those who use or attempt to use the Website and/or any of the defined below Content (each a “User“) and each User undertakes to comply with them. Any use or attempt to use the Website, including by the viewing of any content herein, indicates that the User has read, understood and has given his/her consent to the provisions of the Terms. If you do not agree with any of the Terms (or any part thereof), you must immediately stop using or attempt using the Website.

The Terms are worded for convenience in the masculine but equally apply to men and women alike. What is said in the plural is also meant for the individual and vice versa. When a sentence contains the term “including” it should be interpreted as including among others.

G City reserves the right to change the Terms of Use from time to time, without prior notice and by its sole decision. Any such change will take effect immediately. Users are required to keep up to date with changes from time to time.

1. Definitions

The following terms will have the meaning ascribed next to them:

• “Content” – any content, data, information, input of any kind, including any verbal, visual, audio, audio-visual content, including text, image, sound, video, in any media and any end device, which exist today and/or will exist in the future and/or any combination thereof including articles, news, reviews, data, files, advices, analyses, recommendations, guidelines, presentations, evaluations and any information and/or other content in any format, as well as their design, processing, editing, distribution and presentation, including (but not limited to): any image, photograph, illustration, animation, diagram, figure, simulation, sample, video, audio file and a musical file; any software, file, computer code, application, format, protocol, database and interface and any character, symbol and icon. Content includes Commercial Content.
• “Commercial Content” – Content concerning economic/commercial issues related to G City (including subsidiaries controlled by it) and/or it business operations, including information which relates to G City Group’s projects, assets and financial results, quotes of G City’s and its subsidiaries securities in the Tel Aviv Stock Exchange or elsewhere, data related to any publicly traded or private companies controlled by G City, the financial reports or any other public reports thereof or of G City.
• “Website Content” – Content accessible through the Website, including Commercial Content and Commercial Content.

2. Additional/alternative Terms. G City shall have the exclusive right to provide additional data, services and/or products on the Website and/or to terminate or eliminate any data, service and/or product which is currently available, or which will be made available on the Website. In addition, it shall have the right to provide for additional / alternative terms to govern any current or future data, service and/or product made available on the Website (“Additional Terms“). Unless otherwise stated in the Additional Terms, the Additional Terms shall be deemed an integral part of the Terms and shall not derogate therefrom.
3. Termination of Service/Use. G City shall be entitled to terminate the use of the Website or any part thereof by any User (regardless of whether such user/use has been approved) or entirely.
4. Use of the Website
   • The Terms apply to the Website and the Content available therein in which ever form and/or medium these are used, communicated and/or accessed. Each User may use the Website and the Content therein only in accordance with the Terms and any applicable law.
   • The Website, the Content, appearance, design, and the services and/or products contained therein, are the sole property of G City and/or its licensors and the User agrees not make any use thereof, ither than to view such Content for non-commercial use.
   • G City reserves the right, to change at any time the Website, the Content, and/or any data, service and/or product made available therein, including by adding, subtracting, terminating or limiting, changing the structure of the Website, the scope, and availability of data products and service made available therein. Each User waive and claim in connection with the in respect of the aforesaid.
5. User Statements
   • The User of the Website and/or the Content and/or services declares and undertakes that he is over the age of 18, that any use of the Website will be made lawfully, in accordance with the provisions of the Terms and that he does not breach the rights of others and/or any law.
   • Each User specifically represents and warrants that he will not rely on the Website and/or the Content for making any, investment, professional or business related decisions; Including not for the purpose of (a) trading any securities, bonds, products and/or services, etc., of G City, it subsidiaries, parent companies, affiliated entities and/or of another entity; (b) buying real estate, properties and/or of any kind. The User confirms that nothing on the Website or in the Content is intended to constitute as recommendation, consultation (financial, legal commercial or otherwise) or endorsement of any data, service and/or product of any kind. Information pertaining to the Company is made available in the Company’s Financial Statements, and nothing on the Website and/or in the Content shall prejudice such Financial Statements and/or other publications made available by the Company according to applicable law.
   • Each User undertakes to use the Website and the Content at its own responsibility and risk.
6. Content Uses
   • In the Website Users may find a variety of Content, including content regarding G City Group’s activities, financial reports, investment policies, presentations, news, media, photos, headlines, quotes, information on multiple companies, data comparisons, analysts, financial data, past or future plans of G City and/or another company, business overview, information regarding officers of G City, job offers, offering products or services, shareholders general meetings, ESG reports, code of conduct and other policies, payroll reports and any other content related to G City and/or its affiliates.
   • The User may not copy, link, duplicate or otherwise allow any third party to use or view the Website and/or any of the Content or allow others to use, including by making any links available in other websites, electronic publications, applications, printed publications.
   • The Content originates from G City and other service providers, including G City’s affiliates. Although efforts are made to centralize and process the Content, it is possible that certain errors may have occurred and the Content shall be inaccurate or incomplete. Each User is responsible for checking, examining, and verifying the Content and its accuracy and validity.
   • In addition to the restrictions outlined in the Terms, with respect to Content (especially Commercial Content) which originates from or is also provided in the stock exchange in Israel and/or other jurisdictions, User is advised that such Content is also subject to the terms dictated by each stock exchange(s) and the relevant securities authority. Only reports made by G City according to applicable law shall be binding upon in and not the Content provided herein.
   • The User declares and undertakes that regarding all prohibited use by these regulations as aforesaid, G City, its employees, holders, shareholders, subsidiaries, consultants and affiliates (together with G City – “G City Entities”), will be exempt from any claim, damage, cost and/or liability in connection with the above.
   • No computer software and/or application or any other means, which may harm and/or may do any of the aforesaid (such as Crawlers, Bots, etc.), may be introduced, activated, made available or a runed in connection with the Website. User shall not search, scan, copy or automatically retrieve content from the Website, User may not create a compilation, collection, or repository that will contain Content. Content from the Website must not be displayed or framed in any manner. Content may not be displayed in any way – including through any software, device, accessory, or communication protocol – that changes the Website’s design or deprives it of any content, including Commercial Content.
7. Website Availability.
   • Without derogating from the above, G City will not be responsible for delays and/or disruptions and/or technical malfunctions outside G City’s reasonable control, such as failures relating to the Internet service providers, hosting service providers, electricity providers and other force majeure events or events occurring due to the negligence of third parties.
   • G City does not warrant that the Website and/or the Content therein and any use thereof will be safe, accurate, complete, without glitches or interruptions, or free from viruses, errors, defects, computer worms, other harmful components, or other software restrictions. In addition, G City does not undertake to correct any errors, glitches, or defects on the Website and the Content therein nor does represent or warrant that either the Content or the Website will meet the User’s expectations.
8. Intellectual Property
   • As between G City and the Users all rights, titles and interests in and to the Website, and Content provided therein, including any domain names, patents, trademarks, trade names, the designs (of the Website and any of the Content), copyrights, trade secrets, methods, text, software, images, music and video, graphics and sound, shall be solely owned by G City. The aforesaid may be protected by copyright and other intellectual property legislation and international treaties and agreements and/or used with the express authority of the owner of the copyright and/or trademarks. Any violation of the Terms may result in infringement of copyright, trademarks, or other intellectual property rights, which will expose the infringer to civil lawsuits and/or criminal proceedings.
   • Copying, distributing, broadcasting, publishing, linking, performing a reverse engineering procedure, duplicating, issuing a license, creating derivative works or selling any part of the Website and/or the content of the Website and/or making any other change to this Website or any of the Content without G City’s express prior written permission is absolutely prohibited. Any other right except for the User’s right to view the Website and the Content therein subject to the terms is specifically reserved and User shall not infringe upon these rights.
   • The User is granted a personal, limited license to view, subject to the Terms, the Website and the Content therein, for its non-commercial purposes (other than to engage G City). This license is personal and may not be sublicensed, transferred or assigned to any other person or entity. For the avoidance of doubt, the terms do not confer on the User a right in G City’s intellectual property, but only a limited right of use and can be revoked as aforesaid. No provision of the Terms constitutes a waiver of G City’s intellectual property under any law.
9. Warranty
   • No G City Entity makes any warranty of any kind, ‎express ‎or implied, including, without limitation, any implied warranty regarding ‎the ‎accuracy, merchantability, up-to-date, non-infringement, ‎‎reliability, operability, error free, or fitness for a particular purpose, and/or ‎‎availability of the Website or the Content. Each G City Entities further makes no warranty of any kind, express or ‎‎implied about the functionality and usage of the Website. Each G City Entities does ‎not provide you ‎with any representations, warranties about the Website, the Content, the use thereof.
   • Each User assumes full, exclusive and sole responsibility for the use of and reliance on the Website and the Content therein and acknowledge that any use of or reliance on the Website is made entirely at his own risk. It is the User’s responsibility and liability to make sure that Your use of the Website is legal in Your jurisdiction. We make no representation regarding its legality in Your country or jurisdiction.
10. Limitation of Liability.
    • G City Entities shall not be liable for any direct, indirect, special, incidental, consequential or exemplary damage (even if such damage could have been reasonably foreseen) arising from the Website and/or the Content therein. G City Entities entire liability and User’s exclusive remedy with respect to any dispute connected to the Website and/or the Content therein shall be limited to the amount paid by the User to G City for such use (if at all).
    • These exclusions for direct, indirect, special, incidental, consequential or exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, computer failure or malfunction, or any other commercial damages or losses, even if G City have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the minimum amount permitted by law.
11. Indemnification. User agrees to defend, indemnify, and hold harmless G City Entities, from and against any and all, direct or indirect, claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), at a G City Entity first demand, arising from: (i) User’s use of the Website and/or the Content; (ii) User’s violation of any the Terms; (iii) User’s breach of any third party right or applicable law.
12. Miscellaneous
    • The Terms constitute the complete agreement between the User and G City regarding the use of the Website and the Content and replace any other understanding and/or consent, oral or written in connection thereto.
    • If a term of the Terms is found to be illegal, void or unenforceable for any reason, this term will be deleted from the Terms, and its deletion will not affect the legality and validity of the remaining Terms. In such a case, the existence of a similar condition will be seen as enforceable instead of the condition that has been deleted or removed.
    • Any Failure or delay to enforce any term or to exercise its rights by G City, shall not be deemed as a waiver and/or consent or constitute a precedent.
    • The Terms do not create and will not be construed as creating any partnership, joint venture, employee-employer relationship between the User and G City.
13. Governing Law and Jurisdiction. The courts of Tel-Aviv-Yafo, Israel shall have exclusive jurisdiction over any disputes hereunder. The Terms shall be interpreted exclusively in accordance with the laws of Israel without giving effect to any choice of law or conflict of law rules or provisions.
